Terms of service

This AI Chatbot Management Agreement (the "Agreement") is entered into by and between Integrated AI Limited ("Provider") and ("Client"), collectively referred to as the "Parties."

ServicesProvider agrees to manage and maintain Client's AI chatbot, as described in the attached proposal. The services include configuration, implementation, regular updates, and ongoing support of the AI chatbot system.

FeesClient agrees to pay Provider the following fees for the services rendered:

a. Configuration and implementation costs: £249 (one-time fee)

b. Monthly management fee: £50 (recurring fee)

Payment Terms Client shall pay the configuration and implementation costs of £249 upon signing this Agreement. The recurring monthly management fee of £50 shall be payable in advance, starting from the commencement of the first month and on the same day of each subsequent month.

Term and TerminationThis Agreement shall commence on the date of signing and shall remain in effect on a recurring basis until terminated by either Party. Either Party may terminate this Agreement by providing written notice to the other Party at least 30 days prior to the desired termination date.

Access and OwnershipClient acknowledges that access to the AI chatbot system is dependent on the payment of the monthly management fee. In the event of non-payment, Provider reserves the right to suspend or terminate access to the AI chatbot system. All intellectual property rights and ownership of the AI chatbot system shall remain with Provider.

ConfidentialityBoth Parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of this Agreement. This obligation shall survive the termination of this Agreement.

Limitation of LiabilityIn no event shall either Party be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.

Governing LawThis Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Entire AgreementThis Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether written or oral, relating to the subject matter herein.
